Blackout Coffee Co. Affiliate Program

Blackout Coffee Co. is a brand of Howloo, Inc. (“Blackout Coffee,” “we,” “us”). This document is provided for general information; have counsel review before publishing.

1. Introduction

Welcome to the Blackout Coffee Co. Affiliate Program (the “Program”), powered by Social Snowball. The Program rewards affiliates for referring new customers to Blackout Coffee products. By applying to or participating in the Program, you (“Affiliate,” “you”) agree to these Terms & Conditions (“Terms”). Please read them carefully.

2. Eligibility

  1. You must be at least 18 years old and able to receive payment through the Program’s payout provider in your country.
  2. Before your first payout you must provide a completed tax form: IRS Form W-9 for U.S. persons, or Form W-8BEN (individuals) / W-8BEN-E (businesses) for non-U.S. persons. Affiliates outside the United States are welcome; note that blackoutcoffee.com ships within the United States only, so commissions are earned on orders shipped to U.S. addresses.
  3. Blackout Coffee may approve or reject any application at its sole discretion and is not required to give a reason.
  4. Employees of Howloo, Inc., their household members, and current wholesale or retail partners are not eligible unless approved in writing.

3. How the Program Works

  1. Approved Affiliates receive a unique referral link and a unique referral code. Links generate a single-use discount for each shopper who clicks; codes may be shared verbally or in written content.
  2. Your referral link or code gives the customer 20% off their first order (the “Customer Offer”). The Customer Offer cannot be combined with other discount codes.
  3. A “Qualifying Order” is a completed, paid order placed at blackoutcoffee.com that is directly attributable to your referral link or code, has not been canceled, refunded, or charged back, and complies with these Terms.

4. Commission

  1. Affiliates earn a 15% commission on the product subtotal of each Qualifying Order, calculated after discounts and excluding shipping, taxes, and gift cards.
  2. Subscriptions. For Coffee Club and any other subscription orders, commission is paid on the first order only. Renewal, recurring, and rebilled subscription orders do not earn commission.
  3. Self-referrals are prohibited. You may not use your own link or code, or have members of your household use it, to purchase products for yourself.
  4. Commission is earned only on sales to customers who purchase through your link or code. Orders placed using another Affiliate’s code, a customer-referral reward, or a Blackout Coffee promotional code are not attributed to you.
  5. Blackout Coffee may change commission rates, the Customer Offer, or the commission structure at any time. Affiliates will be notified of changes through the Program dashboard or by email; changes apply to orders placed after the effective date of the notice.

5. Payments

  1. Commissions are held for 30 days after the order date to allow for cancellations, returns, and fraud review. After the hold, commissions become payable.
  2. Payable commissions are paid monthly, between the 5th and the 20th of each month, through the Program’s payout provider.
  3. The minimum payout is $100. Balances below $100 roll over to the following month.
  4. Commissions on orders that are canceled, refunded, charged back, or found to violate these Terms will be reversed and deducted from your balance, even if already paid.
  5. Blackout Coffee may delay or withhold payment while it reviews or investigates any order, account, or suspected violation.
  6. You are responsible for all taxes on commissions you receive. Blackout Coffee will issue IRS Form 1099 where required by law.

6. Promotion Rules

You may promote Blackout Coffee through your own social media, website, email list, video channels, podcasts, and in-person recommendations, provided you follow these rules.

You may not:

  1. Run paid advertising (Google, Bing, Meta, TikTok, YouTube, or any other platform) using Blackout Coffee branded terms, product names, misspellings, or variations, or bid on Blackout Coffee branded keywords.
  2. Direct paid ads to blackoutcoffee.com through your affiliate link, or otherwise compete with Blackout Coffee’s own advertising.
  3. Post your code or link on coupon, deal, cashback, rebate, loyalty, or browser-extension sites (including Honey, RetailMeNot, CouponBird, Rakuten, and similar), or allow others to do so. Sales from such sources earn no commission.
  4. List, resell, or offer Blackout Coffee products for sale under your own seller account on Amazon, Walmart Marketplace, eBay, TikTok Shop, or any other marketplace. This does not restrict you from promoting Blackout Coffee’s own official listings — for example, adding our products to your Amazon Storefront or Amazon Associates links, or promoting our official TikTok Shop listings through TikTok’s creator affiliate program. Sales made through those platforms are paid under that platform’s own affiliate program, not under these Terms; only Qualifying Orders on blackoutcoffee.com earn commission here.
  5. Use deceptive, false, or misleading claims; make health, medical, or caffeine-content claims; or invent promotions Blackout Coffee has not authorized.
  6. Represent yourself as an employee, agent, or official representative of Blackout Coffee.
  7. Name, compare against, or disparage competing brands in content promoting Blackout Coffee.
  8. Create political, partisan, or candidate-related content that includes Blackout Coffee branding, products, or your affiliate code.
  9. Create or share content that films or depicts driving while filming, that includes patient or confidential information, or that shows alcohol alongside Blackout Coffee in commercial-driving content.
  10. Send unsolicited bulk email, spam, or messages that violate any platform’s terms.
  11. Maintain more than one Affiliate account. Multiple accounts controlled by the same person, household, or entity will be terminated and commissions forfeited.
  12. Use cookie stuffing, forced clicks, bots, fake accounts, incentivized clicks, or any method that generates non-genuine referrals.

7. FTC Disclosure

You must clearly and conspicuously disclose your affiliate relationship with Blackout Coffee in every post, video, story, or message that includes your link or code, in accordance with the FTC Endorsement Guides. Use #ad for paid content and #gifted where you received free product. Disclosures must be visible without clicking “more” or expanding the caption.

8. Brand Assets and Content

  1. Blackout Coffee grants you a limited, revocable, non-exclusive license to use the logos, images, and copy it provides for the sole purpose of promoting the Program. You may not alter these assets without written consent.
  2. By tagging @blackoutcoffeeco or posting content that features Blackout Coffee products with your affiliate code or link, you grant Blackout Coffee a non-exclusive, royalty-free license to repost and share that content on its own social channels and website with credit to you. Use of your content in paid advertising requires your separate written agreement.
  3. You may only make claims about Blackout Coffee products that appear on blackoutcoffee.com or in materials Blackout Coffee provides.

9. Compliance Monitoring

Blackout Coffee monitors affiliate traffic sources, promotional methods, and account activity. Commissions earned through fraudulent, illegal, deceptive, or non-compliant methods will be voided. Violations may result in commission reversal, account suspension, or permanent removal from the Program at Blackout Coffee’s sole discretion.

10. Termination

  1. Either party may end the affiliate relationship at any time with written notice. Blackout Coffee may terminate immediately for any violation of these Terms.
  2. On termination you must stop using all Blackout Coffee branding, assets, links, and codes.
  3. Commissions that are payable and not subject to reversal at the time of termination will be paid on the next regular payout date. Commissions forfeited for violations will not be paid.

11. Relationship of the Parties

You are an independent contractor. Nothing in these Terms creates an employment, partnership, joint-venture, or agency relationship. You have no authority to bind Blackout Coffee.

12. Limitation of Liability

To the fullest extent permitted by law, Blackout Coffee will not be liable for indirect, special, incidental, or consequential damages, or any loss of revenue, profits, or data, arising from the Program or these Terms, even if advised of the possibility of such damages. Blackout Coffee’s total liability under the Program will not exceed the commissions paid to you in the three months before the claim.

13. Changes to These Terms

Blackout Coffee may update these Terms at any time. Material changes will be posted at blackoutcoffee.com/pages/affiliate-terms-conditions and noted in the Program dashboard. Continued participation after a change constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Florida. Any dispute will be resolved in the state or federal courts located in St. Lucie County, Florida.
